Fractional CEO Support – Service Agreement

This Service Agreement ("Agreement") is entered into by and between DS Consulting Club / The GrowPro Shop (“we”, “our”, or “us”) and the client (“you”, “your” or “the business”) upon subscription to the Fractional CEO Support service. By purchasing this service, you agree to the terms and conditions outlined below.

1. Scope of Service

We will provide strategic business leadership and executive advisory services on a fractional (part-time) basis. This includes structured business coaching, performance reviews, and strategic input according to the selected subscription tier.

You may choose from the following packages:

Package 1: Executive Soundboard – 3 Hours/Month

Designed to provide high-level strategic input and decision support for early-stage or solo founders.

What’s included:

  • One 60-minute monthly strategy call
  • Strategic feedback on business priorities and opportunities
  • Accountability check-ins
  • Responses to up to three advisory emails per month
  • Maximum support time: 3 hours/month

Not included:

  • Operational involvement
  • Document review, team meetings, or hands-on execution
  • On-call availability or turnaround within less than 48 hours

 

Package 2: Growth Retainer – 15 Hours/Month

Ongoing strategic involvement for small businesses needing structured support and momentum.

What’s included:

  • Bi-weekly strategy and planning calls (up to 2 sessions/month)
  • Up to 15 hours/month of engagement, which may include:
    • Marketing and sales review
    • Light planning documents or internal strategy notes
    • Coordination with key team members or partners (max 2 stakeholders)
    • Feedback on financials, plans, or reports
  • Asynchronous email or messaging support (24–48 hour response time)

Not included:

  • Full business plan drafting or project management
  • Managing external consultants or vendor negotiations
  • Daily operational oversight

 

Package 3: Executive Partner – 20 Hours/Month

An embedded strategic partner offering comprehensive executive leadership without the cost of hiring a full-time CEO.

What’s included:

  • Weekly CEO strategy calls (up to 4/month)
  • Up to 20 hours/month of engagement, which may include:
    • Full business performance reviews
    • Strategic planning, structure and budgeting
    • Hands-on guidance in key projects
    • Team and consultant coordination
    • Proactive opportunity/risk identification
    • Monthly executive performance report
  • Priority support (response within 24 hours during working days)

Not included:

  • On-demand support outside agreed availability
  • Serving as legal company representative or board member
  • Full-time operational management

 

2. Client Responsibilities

You agree to:

  • Provide honest, complete, and timely information necessary for effective strategy and support
  • Attend scheduled sessions or provide 24 hours' notice for changes
  • Respect the monthly hour cap based on your selected package
  • Use this service solely for your business (not transferable or shared)

3. Communication & Availability

  • All communication is by scheduled call, email, or a designated messaging channel
  • Responses to email/messages will occur within 24–48 hours, depending on your plan
  • Urgent requests outside the agreed scope may be subject to additional billing

4. Term, Renewal & Cancellation

  • This agreement is month-to-month and auto-renews unless cancelled in writing with 7 days’ notice before renewal
  • Unused hours do not carry over to the following month
  • You may upgrade your package at any time; downgrades apply from the next billing cycle 

5. Fees & Payment Terms

  • Fees are paid monthly in advance
  • Payment is due before services commence for each billing cycle
  • Additional hours (upon request) will be billed separately at AED 800/hour

6. Confidentiality

All business information shared during this engagement will be treated as strictly confidential. We will not share, use, or disclose your information for any purpose other than fulfilling the scope of this agreement.

7. Limitation of Liability

While we aim to provide strategic support to help your business grow, all decisions remain your responsibility. We are not liable for any business loss, missed opportunities, or damages arising from business decisions made during or after this engagement.

 

8. Acceptance of Terms

By purchasing this service, you confirm that you have read, understood, and agreed to the terms of this agreement. This agreement is binding from the date of subscription and applies for the duration of your active subscription.
